These Terms of Use (“Terms”) govern the access to and use of the mobile application, software platform and related services (collectively, the “Platform”) operated by BICAB SERVICES PRIVATE LIMITED (“BICAB”, “Company”, “we”, “us” or “our”), a company incorporated under the provisions of the Companies Act, 2013 and having its registered office at Sy No-404, Plot No.30a, Patel Ind. Society, Katargam, Bambawadi, Opp. Bala Ashram, Katargam, Surat, Gujarat – 395004.

BICAB operates a technology enabled Platform designed to facilitate connectivity, communication, coordination and interaction between registered users for mobility, ride sharing, cost sharing, facilitation and other allied services that may be introduced from time to time (collectively, the “Platform Services”). The Platform functions solely as a digital intermediary and technology facilitator and does not itself own, operate, manage or control vehicles, provide transportation services, employ drivers, or act as a transport operator.

For the purposes of these Terms, any individual accessing or using the Platform to offer, share, coordinate or facilitate a ride using a vehicle owned, possessed or lawfully used by such individual shall be referred to as a “Biker”. Any individual accessing or using the Platform to search, request, join, participate in or avail a ride through the Platform shall be referred to as a “Passenger”. The Biker and the Passenger are collectively referred to as “Users”. References to “you” or “your” under these Terms shall include, as applicable, a Biker, Passenger or any other person accessing or using the Platform.

By downloading, accessing, registering on, browsing or otherwise using the Platform, you acknowledge that you have read, understood and agreed to be legally bound by these Terms, together with the Privacy Policy, Community Guidelines, Safety Policies and any other policies, guidelines or notices published by the Company from time to time. If you do not agree to these Terms, you must immediately discontinue access to and use of the Platform.

PART-A: BIKER TERMS OF USE

1. SCOPE AND APPLICABILITY

  • These Biker Terms of Use (“Biker Terms”) govern the access to and use of the Platform Services by any Biker and set out the specific rights, responsibilities, obligations, restrictions and conditions applicable to Bikers. These Biker Terms supplement and form an integral part of the Platform Terms of Use.
  • These Biker Terms shall be read together with and in addition to the Platform Terms of Use. All capitalized terms used but not defined herein shall have the meanings assigned to them under the Platform Terms of Use.
  • These Biker Terms shall apply to every Biker who registers, accesses, browses, uses, creates an Account, publishes a Ride, accepts ride requests, communicates with Passengers or otherwise utilizes any feature, functionality or service made available through the Platform in the capacity of a Biker.
  • These Biker Terms form part of the contractual framework governing the Biker’s use of the Platform and shall be read together with the Platform Terms of Use, Privacy Policy, Community Guidelines, Safety Policies and all other policies, notices, standards and guidelines issued by the Company from time to time.
  • By registering as a Biker, publishing a Ride or otherwise using any Biker specific functionality of the Platform, the Biker acknowledges and agrees to be bound by these Biker Terms and all documents incorporated herein by reference.
  • Any amendment, modification or update to these Biker Terms shall be governed by the amendment provisions contained in the Platform Terms of Use.
  • These Biker Terms regulate only the Biker’s rights and obligations in connection with the offering and facilitation of Rides through the Platform and shall not be construed as creating any employment, agency, partnership, joint venture, transportation operator or similar relationship between the Company and the Biker.

2. BIKER ELIGIBILITY AND ACCOUNT REQUIREMENTS

In addition to satisfying the eligibility requirements prescribed under the Platform Terms of Use, a Biker shall, at all times during the use of the Platform:

  • possess a valid and subsisting driving licence authorizing the Biker to operate the relevant vehicle under applicable laws;
  • be legally entitled to own, possess, use or operate the vehicle through which any Ride is offered on the Platform;
  • maintain all registrations, permits, certificates, approvals, insurance policies and other documentation required under applicable laws in relation to such vehicle; and
  • satisfy such additional eligibility, verification, compliance or onboarding requirements as may be prescribed by the Company on the Platform, from time to time.
  • The Biker represents and warrants that all information, declarations, vehicle details, identity records, licences, registrations, permits, insurance documents and other materials submitted to the Company are true, complete, accurate, valid and not misleading in any respect.
  • The Biker shall promptly update the Platform in the event of any change, suspension, expiry, cancellation, revocation or inaccuracy affecting any information or document previously submitted on the Platform.
  • The Biker acknowledges and agrees that the Company may require the completion of identity verification, account authentication, vehicle verification, document validation or other compliance procedures, either directly or through authorized third-party service providers, as a condition for onboarding, continued access or use of Biker specific functionalities.
  • The Biker shall be solely responsible for ensuring that the vehicle used for offering a Ride remains roadworthy, safe, properly maintained and compliant with applicable laws throughout the duration of any Ride facilitated through the Platform.
  • The Company may, at its sole discretion, refuse, restrict, suspend or revoke Biker access to any Biker specific functionality where the Biker fails to satisfy any eligibility, verification, documentation, compliance or operational requirement prescribed under these Biker Terms, the Platform Terms of Use or applicable laws.
  • The Biker acknowledges that approval of a Biker account, verification of documents or access to Biker specific functionalities by the Company shall not constitute a representation, certification or warranty by the Company regarding the legality, validity, sufficiency or continued compliance of the Biker, the vehicle or any associated documentation.

3. RIDE CREATION, PUBLICATION AND MANAGEMENT

  • A Biker may use the Platform to create, publish, update, manage or withdraw a ride, subject to these Biker Terms, the Platform Terms of Use and any operational requirements prescribed on the Platform from time to time.
  • The Biker shall ensure that all information relating to a Ride, including the proposed route, pick-up location, drop-off location, date, departure time, available seats and any other ride related details, is accurate, complete and not misleading at the time of publication.
  • The Biker shall be solely responsible for determining the details, conditions and availability of any Ride published through the Platform and for ensuring that such Ride is offered in compliance with applicable laws and the policies of the Company.
  • The Biker shall promptly update, modify or remove any Ride information that becomes inaccurate, unavailable, misleading or no longer capable of being fulfilled.

The Biker shall not publish, offer or maintain any Ride that:

  • contains false, deceptive or inaccurate information;
  • is intended for any unlawful, unauthorized or prohibited purpose;
  • exceeds any limitations, restrictions or operational parameters prescribed by the Company; or
  • otherwise violates these Biker Terms, the Platform Terms of Use or Applicable Laws.
  • The Biker shall exercise reasonable efforts to adhere to the route, departure schedule and Ride details communicated through the Platform and shall promptly notify affected Passengers through the Platform of any material change, delay, cancellation or interruption affecting the Ride.
  • The Biker acknowledges that publication of a Ride through the Platform does not guarantee Passenger participation, booking requests, Ride completion or any minimum level of platform activity.
  • The Platform may, at its sole discretion, refuse, restrict, suspend, remove, modify or deactivate any ride listing, ride related content or Biker activity where it reasonably believes that such action is necessary for legal compliance, user safety, fraud prevention, platform integrity, operational requirements or protection of the legitimate interests of the Company or its Users.
  • The Biker shall remain solely responsible for all decisions relating to the offering, acceptance, continuation, modification, cancellation or completion of any Ride and for all consequences arising therefrom.

4. BIKER RESPONSIBILITIES AND CONDUCT

  • The Biker shall be solely responsible for determining whether to accept, and decline, any ride sharing arrangement proposed through the Platform.
  • The Biker shall ensure that only the vehicle specified in the applicable ride listing is used for the relevant Ride unless otherwise communicated to and accepted by the affected Passengers.
  • The Biker shall ensure that the number of Passengers participating in a Ride does not exceed the seating capacity lawfully permitted for the vehicle.
  • The Biker shall use reasonable efforts to commence and complete a ride substantially in accordance with the details published through the Platform and shall promptly communicate any material deviation affecting the ride.
  • The Biker shall not permit any person who is not associated with the relevant Ride to occupy a seat allocated to a participating Passenger.
  • The Biker shall not use a Ride published through the Platform for the carriage, transportation or delivery of goods, parcels, commercial consignments or other items unless expressly permitted by the Company.
  • The Biker shall exercise reasonable cooperation with participating Passengers in relation to Ride coordination, boarding arrangements, location sharing, communication and other matters reasonably connected with the completion of the Ride.
  • The Biker acknowledges that all decisions relating to the conduct, route management, scheduling, continuation or completion of a Ride remain the sole responsibility of the Biker and are not directed, supervised or controlled by the Company.

5. COST SHARING PRINCIPLES

  • The Platform is intended to facilitate bona fide ride sharing and cost sharing arrangements between Users and shall not be used by Bikers for the purpose of operating commercial passenger transportation services.
  • The Biker shall ensure that any contribution sought from Passengers in connection with a ride is reasonable, proportionate and consistent with the cost sharing principles prescribed by the Company from time to time.
  • The Biker shall not utilize the Platform for the purpose of generating profit, carrying on a transportation business, offering public transport services or otherwise operating as a commercial transport operator.
  • The Biker shall not solicit, demand, accept or receive any amount from a Passenger outside the payment mechanisms expressly authorized through the Platform, except where expressly permitted by the Company.
  • The Biker acknowledges that the Company may prescribe limits, parameters, methodologies or guidelines relating to ride frequency, ride availability, user contributions, reimbursement structures, operational restrictions or other measures intended to preserve the cost sharing nature of the Platform.
  • The Biker shall promptly comply with any directions, restrictions, limits or controls implemented by the Company in connection with the operation, regulation or governance of ride sharing activities on the Platform.
  • The Company reserves the right to review, investigate, restrict, suspend or remove any Ride, account or activity which, in its reasonable opinion, appears inconsistent with the intended cost sharing nature of the Platform or otherwise presents legal, regulatory, operational or reputational risk to the Platform.

6. COST CONTRIBUTIONS, PAYMENTS AND SETTLEMENTS

  • The Biker may specify or receive such cost contribution amount in relation to a Ride as may be permitted through the Platform and in accordance with the policies, limits, operational standards and requirements prescribed on the Platform from time to time.
  • The Biker acknowledges and agrees that any cost contribution received in connection with a Ride is intended solely towards sharing or contributing to travel related expenses and shall not be construed as consideration for the provision of commercial transportation services.
  • The Biker shall not solicit, demand, collect or accept any amount from a Passenger outside the payment mechanisms, policies or procedures permitted through the Platform, except where expressly authorized by the Company.
  • The Company may establish limits, restrictions, thresholds, reimbursement methodologies, ride caps or other operational controls relating to cost contributions in order to maintain the intended nature and operation of the Platform.
  • Payments, collections, settlements, transfers or other financial transactions facilitated through the Platform may be processed by independent third-party payment service providers authorized by the Company. The Biker shall comply with all applicable requirements, policies and procedures prescribed by such service providers.
  • The Biker shall provide and maintain accurate payment, banking or settlement information required for processing payments or settlements through the Platform and shall be solely responsible for the accuracy thereof.
  • The Company shall be entitled to withhold, delay, reverse, suspend or restrict any payment, settlement or transaction where reasonably required for compliance with Applicable Laws, fraud prevention, dispute resolution, risk management, security verification or operational requirements.
  • The Biker shall be solely responsible for any taxes, duties, levies, statutory charges or reporting obligations that may arise in connection with amounts received by the Biker through or in relation to the Platform, unless otherwise required under Applicable Laws.

7. BIKER REPRESENTATIONS AND WARRANTIES

The Biker represents, warrants and undertakes that:

  • the Biker has the legal right, authority and capacity to offer and facilitate Rides through the Platform;
  • the Biker shall comply with all Applicable Laws, traffic regulations and safety requirements applicable to the operation of the vehicle and participation in ride-sharing activities;
  • the Biker shall use the Platform solely for lawful ride-sharing and cost-sharing purposes and shall not utilize the Platform for any unauthorized, unlawful or prohibited activity;
  • the Biker shall not knowingly undertake any act or omission that may endanger the safety of any User or adversely affect the integrity, reputation or lawful operation of the Platform; and
  • the Biker shall promptly notify the Company of any circumstance that materially affects the Biker’s ability to comply with these Biker Terms.
  • The Biker acknowledges that the Company relies upon the foregoing representations and warranties in permitting the Biker to access and use Biker specific functionalities of the Platform.
  • Any breach of the representations, warranties or undertakings contained herein may result in restriction, suspension or termination of the Biker’s access to the Platform, without prejudice to any other rights or remedies available to the Company.

8. INSURANCE

  • The Biker shall, at all times while using the Platform and facilitating any Ride, maintain valid and effective motor vehicle insurance coverage as required under Applicable Laws.
  • The Biker shall be solely responsible for ensuring that all insurance policies applicable to the vehicle remain valid, enforceable and sufficient for the intended use of such vehicle.
  • Upon request by the Company, the Biker shall provide such information, declarations or supporting documentation as may reasonably be required to demonstrate compliance with this Clause.
  • The Biker acknowledges and agrees that the Company does not provide, procure, maintain or guarantee any insurance coverage for the Biker, any Passenger, any vehicle, personal belongings or any activity conducted through the Platform.
  • The Company shall not be liable for any loss, damage, injury, claim, liability or expense arising from the absence, insufficiency, invalidity, lapse or non-availability of any insurance coverage maintained by the Biker.

9. SAFETY OBLIGATIONS

  • The Biker shall exercise reasonable care and caution throughout the Ride and shall conduct the Ride in a manner that promotes the safety, security and well-being of all participating Users.
  • The Biker shall not operate a vehicle while under the influence of alcohol, narcotic substances, intoxicants, prohibited drugs or any substance that may impair judgment, alertness or driving ability.
  • The Biker shall not engage in reckless, dangerous, negligent or unsafe conduct that may expose any User to unnecessary risk or harm.
  • The Biker shall promptly report through the Platform any accident, safety incident, unlawful activity or emergency situation occurring in connection with a Ride where such reporting is reasonably practicable.

10. PROHIBITED BIKER ACTIVITIES

The Biker shall not:

  • circumvent any verification, security or compliance mechanism implemented by the Company;
  • create multiple accounts without authorization;
  • misuse, manipulate or interfere with the proper functioning of the Platform;
  • engage in harassment, discrimination, abusive conduct, threatening behavior or unlawful conduct towards any User;
  • misuse User information obtained through the Platform; or
  • undertake any activity which may adversely affect the security, integrity, reputation or lawful operation of the Platform.

The Company may investigate any suspected violation of this Clause and take such action as it deems appropriate under the Platform Terms of Use.

11. RATINGS, REVIEWS AND USER REPORTING

  • The Platform may permit Users to provide ratings, reviews, feedback, reports or other assessments relating to their experience with a Ride or another User.
  • The Biker shall ensure that any feedback, review or report submitted through the Platform is truthful, fair and based on actual experience.
  • The Company may review, moderate, remove, restrict or retain any rating, review, feedback or report in accordance with its policies and operational requirements.

12. ENFORCEMENT MEASURES

  • Without prejudice to any rights available under the Platform Terms of Use, the Company may issue warnings, impose restrictions, remove Ride listings, suspend Biker-specific functionalities or terminate Biker access where the Biker breaches these Biker Terms, Applicable Laws or Company policies.
  • The Company may take immediate action without prior notice where it reasonably believes such action is necessary for user safety, fraud prevention, legal compliance, platform security or protection of the legitimate interests of the Company or its Users.
  • The Company shall have no obligation to restore any suspended or terminated Biker account unless otherwise determined by the Company in its sole discretion.

PART-B: PASSENGER TERMS OF USE

1. SCOPE AND APPLICABILITY

  • These Passenger Terms of Use (“Passenger Terms”) govern the access to and use of the Platform Services by any Passenger and set out the specific rights, responsibilities, obligations, restrictions and conditions applicable to Passengers. These Passenger Terms supplement and form an integral part of the Platform Terms of Use.
  • These Passenger Terms shall be read together with and in addition to the Platform Terms of Use. All capitalized terms used but not defined herein shall have the meanings assigned to them under the Platform Terms of Use.
  • These Passenger Terms shall apply to every Passenger who registers, accesses, browses, uses, creates an Account, searches for Rides, submits ride requests, participates in a Ride, communicates with Bikers or otherwise utilizes any feature, functionality or service made available through the Platform in the capacity of a Passenger.
  • These Passenger Terms form part of the contractual framework governing the Passenger’s use of the Platform and shall be read together with the Platform Terms of Use, Privacy Policy, Community Guidelines, Safety Policies and all other policies, notices, standards and guidelines issued by the Company from time to time.
  • By registering as a Passenger, requesting, joining or participating in a Ride or otherwise using any Passenger-specific functionality of the Platform, the Passenger acknowledges and agrees to be bound by these Passenger Terms and all documents incorporated herein by reference.
  • Any amendment, modification or update to these Passenger Terms shall be governed by the amendment provisions contained in the Platform Terms of Use.
  • These Passenger Terms regulate only the Passenger’s rights and obligations in connection with the identification, request, coordination and participation in Rides through the Platform and shall not be construed as creating any employment, agency, partnership, joint venture, transportation operator, carrier-passenger or similar relationship between the Company and the Passenger.

2. PASSENGER ELIGIBILITY AND ACCOUNT REQUIREMENTS

In addition to satisfying the eligibility requirements prescribed under the Platform Terms of Use, a Passenger shall, at all times during the use of the Platform:

  • possess the legal capacity to enter into binding arrangements under Applicable Laws;
  • provide such information, declarations, consents and supporting documentation as may be required by the Company from time to time;
  • comply with all verification, authentication and onboarding requirements prescribed by the Company; and
  • satisfy any additional eligibility criteria applicable to particular Platform Services or functionalities.
  • The Passenger represents and warrants that all information, identity records, contact details, declarations and other materials submitted to the Company are true, accurate, complete and not misleading in any respect.
  • The Passenger shall promptly update any information previously submitted to the Company where such information becomes inaccurate, incomplete or outdated.
  • The Passenger acknowledges and agrees that the Company may require identity verification, account authentication, document validation, compliance checks or other verification procedures, either directly or through authorized third-party service providers, as a condition for onboarding, continued access or use of Passenger-specific functionalities.
  • The Passenger shall maintain the confidentiality and security of the Passenger’s account credentials and shall be solely responsible for all activities conducted through the Passenger’s account.
  • The Company may, at its sole discretion, refuse, restrict, suspend or revoke access to any Passenger-specific functionality where the Passenger fails to satisfy any eligibility, verification, documentation, compliance or operational requirement prescribed under these Passenger Terms, the Platform Terms of Use or Applicable Laws.
  • The Passenger acknowledges that any verification, authentication or onboarding procedure conducted by the Company shall not constitute a representation, certification or guarantee regarding the identity, conduct, reliability, suitability or trustworthiness of any User on the Platform.

3. RIDE SEARCH, REQUEST AND PARTICIPATION

  • A Passenger may use the Platform to search for, review, request, join or participate in Rides made available by Bikers, subject to these Passenger Terms, the Platform Terms of Use and any operational requirements prescribed by the Company from time to time.
  • The Passenger shall independently evaluate the suitability of any Ride before submitting a request to participate and shall be solely responsible for determining whether a particular Ride meets the Passenger’s requirements and preferences.
  • Submission of a ride request by a Passenger shall constitute an expression of interest only and shall not create any entitlement to participate in a Ride unless such request is accepted by the relevant Biker.
  • The Passenger shall ensure that all information provided in connection with a ride request, participation request or ride-related communication is accurate, complete and not misleading.
  • The Passenger shall use reasonable efforts to be available at the agreed boarding location and time communicated in connection with the relevant Ride and shall promptly notify the Biker through the Platform of any anticipated delay, cancellation or inability to participate.
  • The Passenger shall not transfer, assign, resell or permit any other person to utilize a Ride arrangement accepted through the Passenger’s account without the prior consent of the Biker and the Company, where applicable.
  • The Passenger acknowledges that all decisions relating to acceptance, rejection, modification, cancellation or continuation of a Ride remain subject to the discretion of the relevant Biker and the operational functionality of the Platform.
  • The Company does not guarantee the availability of any Ride, acceptance of any ride request, successful participation in any Ride or the fulfillment of any travel requirement of a Passenger.
  • The Passenger shall remain solely responsible for all decisions relating to the submission of ride requests, participation in Rides, coordination with Bikers and any consequences arising from such participation.

4. PASSENGER RESPONSIBILITIES AND CONDUCT

  • The Passenger shall conduct himself/herself in a lawful, respectful and responsible manner while using the Platform and participating in any Ride.
  • The Passenger shall cooperate reasonably with the Biker in relation to boarding arrangements, identification, communication, route coordination and other matters reasonably necessary for the completion of a Ride.
  • The Passenger shall comply with all reasonable safety instructions, vehicle-related rules and ride-related requirements communicated by the Biker, provided such requirements do not contravene Applicable Laws or these Passenger Terms.
  • The Passenger shall not engage in any conduct that may disrupt, interfere with or adversely affect the safety, comfort, convenience or experience of any Biker or other participating Passenger.
  • The Passenger shall not carry, possess, transport or bring into any Ride any prohibited, unlawful, hazardous, dangerous or restricted item, substance or material in violation of Applicable Laws.
  • The Passenger shall not consume, possess or be under the influence of alcohol, narcotic substances, prohibited drugs or other intoxicants in a manner that may compromise safety, create a nuisance or adversely affect any User during a Ride.
  • The Passenger shall not damage, misuse, interfere with or unlawfully appropriate any vehicle, equipment, property or belongings belonging to a Biker or any other person.
  • The Passenger shall not engage in harassment, discrimination, intimidation, threatening behaviour, abusive conduct, unlawful conduct or any other inappropriate behaviour towards any User.
  • The Passenger shall remain solely responsible for his/her personal belongings and valuables carried during any Ride and shall take appropriate precautions to safeguard the same.
  • The Passenger acknowledges that participation in any Ride is voluntary and that all decisions relating to joining, continuing or discontinuing participation in a Ride remain the sole responsibility of the Passenger.

5. PAYMENTS, PLATFORM FEES AND COST CONTRIBUTIONS

  • The Passenger acknowledges that participation in certain Rides may require payment of a cost contribution, platform fee or such other charges as may be displayed through the Platform from time to time.
  • Any platform fee charged by the Company shall constitute consideration solely for access to and use of the Platform Services and shall not be construed as consideration for transportation, carriage or any transportation-related service.
  • The Passenger shall ensure that all payments required in connection with a Ride are completed in accordance with the payment process, timelines and instructions made available through the Platform.
  • Payments made through the Platform may be processed, collected, settled or facilitated by independent third-party payment service providers authorized by the Company. The Passenger shall comply with all applicable terms, conditions and requirements prescribed by such payment service providers.
  • The Passenger shall be solely responsible for maintaining valid payment credentials, payment instruments and sufficient funds necessary to complete any transaction initiated through the Platform.
  • The Company reserves the right to withhold, decline, reverse, restrict or suspend any transaction where reasonably required for legal compliance, fraud prevention, security verification, risk management, operational requirements or protection of the legitimate interests of the Company or its Users.
  • Except as expressly provided under Applicable Laws or any refund policy issued by the Company, all payments, fees and charges processed through the Platform shall be non-refundable.

6. CANCELLATIONS, NO-SHOWS AND PARTICIPATION MANAGEMENT

  • The Passenger shall use reasonable efforts to honour any ride request accepted by a Biker and shall avoid unnecessary cancellations or disruptions to confirmed Ride arrangements.
  • Where the Passenger is unable to participate in a Ride for any reason, the Passenger shall cancel or withdraw the participation request through the Platform as soon as reasonably practicable.
  • The Passenger shall not repeatedly submit ride requests without a genuine intention to participate in the relevant Ride.
  • The Company may establish cancellation standards, participation requirements, no-show policies, attendance thresholds or similar operational measures to maintain the reliability and efficiency of the Platform.
  • Repeated cancellations, no-shows, misuse of ride requests, disruptive participation patterns or other conduct adversely affecting the Platform or its Users may result in warnings, temporary restrictions, reduced access to certain functionalities, account suspension or such other measures as the Company may deem appropriate.
  • The Company may maintain records relating to cancellations, participation history, no-shows, user reports and other Platform activity for operational, compliance, safety, trust and risk-management purposes.

7. RATINGS, REVIEWS AND USER REPORTING

  • The Platform may permit Passengers to provide ratings, reviews, feedback, complaints, reports or other assessments relating to Bikers, Rides or Platform experiences.
  • Any rating, review, feedback or report submitted by a Passenger shall be accurate, genuine, fair, lawful and based upon the Passenger’s actual experience.
  • The Passenger shall not submit any false, misleading, defamatory, abusive, discriminatory, malicious or fraudulent review, rating, complaint or report.
  • The Company may review, moderate, remove, refuse to publish or investigate any rating, review, feedback or report where it reasonably believes that such content violates these Terms, Applicable Laws or any policy of the Company.
  • The Passenger acknowledges that ratings, reviews, reports and feedback may be utilized by the Company for trust, safety, quality-control, compliance, dispute-management and Platform-governance purposes.
  • Submission of any report, complaint or feedback shall not obligate the Company to take any specific action, and all investigations, reviews and enforcement decisions shall remain at the sole discretion of the Company.

8. ENFORCEMENT MEASURES

  • The Company may monitor Passenger activity on the Platform for the purposes of ensuring compliance with Applicable Laws, Platform policies, operational requirements, trust and safety standards and these Passenger Terms.
  • Where the Company reasonably believes that a Passenger has violated these Passenger Terms, the Platform Terms of Use, Applicable Laws or any policy issued by the Company, the Company may take such action as it considers appropriate, including issuing warnings, imposing restrictions, disabling specific functionalities, suspending access or terminating the Passenger's account.
  • The Company may take immediate action without prior notice where it reasonably considers such action necessary for user safety, fraud prevention, legal compliance, security, risk management or protection of the Platform and its Users.
  • The Passenger shall cooperate with any review, inquiry, verification process or investigation undertaken by the Company in connection with complaints, reports, safety incidents, suspected misconduct or potential violations of Platform requirements.
  • Any restriction, suspension or termination imposed under these Passenger Terms shall be without prejudice to any other rights, remedies or actions available to the Company under Applicable Laws, the Platform Terms of Use or any other applicable policy.
  • The Company reserves the right to retain records, communications, reports, transaction details and other relevant information for compliance, evidentiary, operational, legal, safety or risk-management purposes in accordance with Applicable Laws and its internal policies.

DISCLAIMER

The Platform, Platform Services and all information, content, features, functionalities, communications and materials made available through the Platform are provided on an "as is" and "as available" basis.

BICAB does not represent, warrant or guarantee that:

  • Any information, ride details, user profiles, ratings, reviews, content or other materials available on the Platform are accurate, complete, reliable, current or error-free;
  • Any Ride published through the Platform will be available, completed or performed as represented by any User;
  • Any User is suitable, qualified, trustworthy, reliable or compliant with Applicable Laws; or
  • The Platform will operate uninterrupted, secure or error-free at all times.
  • BICAB operates solely as a technology intermediary and facilitator and does not own, operate, manage or control any vehicle, transportation service or ride. BICAB does not employ Bikers and shall not be responsible for the acts, omissions, conduct, negligence, defaults or representations of any User.
  • BICAB and its affiliates shall never request account passwords, authentication credentials or any payment in cash for onboarding, verification or access to Platform Services. Users are advised not to share such information with any third party claiming to represent BICAB.
  • BICAB shall not be responsible for any delay, cancellation, route deviation, accident, injury, loss of property, misconduct, non-performance or dispute arising between Users in connection with any Ride facilitated through the Platform.

AUDITS, VERIFICATION AND COMPLIANCE REVIEWS

  • BICAB reserves the right to verify, inspect, audit, review or investigate any User account, Ride activity, payment records, vehicle information, compliance documentation or Platform usage where reasonably required for compliance, safety, fraud prevention, legal obligations, operational integrity or risk management purposes.
  • Such verification or audit may be undertaken by BICAB directly or through independent third-party agencies, legal advisors, consultants, auditors, chartered accountants, company secretaries, verification service providers or other authorized representatives.
  • The costs of such audits, investigations or compliance reviews shall be borne by BICAB, unless the review reveals fraud, material misrepresentation, unlawful conduct, policy violations or other material non-compliance by the User, in which case BICAB shall be entitled to recover such costs from the concerned User.

INTELLECTUAL PROPERTY RIGHTS

  • The Platform, including its software, design, layout, functionality, trademarks, trade names, logos, service marks, content, graphics, text, databases, compilations and all associated intellectual property rights are owned by or licensed to BICAB and are protected under Applicable Laws.
  • "BICAB", the BICAB logo and all associated names, marks, branding elements and trade dress are proprietary to BICAB or its licensors and shall not be copied, reproduced, modified, distributed, displayed, published or otherwise used without prior written consent.
  • Any trademarks, logos, service marks, trade names, copyrights or intellectual property belonging to third parties and displayed on the Platform shall remain the exclusive property of their respective owners. BICAB does not claim ownership over such third-party intellectual property.

BREACH AND ENFORCEMENT

Without prejudice to any other rights or remedies available under these Terms or Applicable Laws, BICAB may, at its sole discretion:

  • issue warnings;
  • remove content or Ride listings;
  • restrict access to certain functionalities;
  • suspend or terminate User accounts;
  • block access to the Platform; or
  • take such other measures as it deems appropriate,

Where,

  • a User breaches these Terms, Privacy Policy, Community Guidelines or any Platform policy;
  • BICAB is unable to verify or authenticate information provided by a User;
  • a User engages in fraudulent, unlawful, unsafe or prohibited conduct; or
  • BICAB reasonably believes that such User's conduct may expose BICAB, other Users or third parties to legal, regulatory, financial, operational or reputational risk.

INDEMNITY

Users agree to defend, indemnify and hold harmless BICAB, its affiliates, promoters, directors, officers, employees, representatives, agents and licensors from and against any and all claims, actions, proceedings, liabilities, losses, damages, penalties, fines, costs and expenses (including reasonable legal fees and expenses) arising out of or in connection with:

  • the User's access to or use of the Platform;
  • any Ride offered, facilitated, requested or participated in by the User;
  • any breach of these Terms or any Platform policy;
  • violation of Applicable Laws;
  • infringement of any third-party rights;
  • any accident, injury, loss, damage, dispute or claim arising between Users; or
  • any negligent, fraudulent, wrongful or unlawful act or omission of the User.

GOVERNING LAW AND JURISDICTION

  • These Terms shall be governed by and construed in accordance with the laws of India.
  • Subject to applicable dispute resolution provisions, the courts at Surat, Gujarat shall have exclusive jurisdiction over all disputes arising out of or in connection with these Terms, the Platform or the Platform Services.

MODIFICATIONS AND SEVERABILITY

  • BICAB reserves the right to amend, modify, update or replace these Terms, Platform policies, guidelines or operational requirements at any time.
  • Continued access to or use of the Platform following publication of any revised Terms shall constitute acceptance of such modifications.
  • If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect.

FORCE MAJEURE

  • BICAB shall not be liable for any delay, interruption, suspension or failure in performance arising from events beyond its reasonable control, including acts of God, natural disasters, floods, earthquakes, epidemics, pandemics, strikes, labour disputes, riots, civil disturbances, governmental actions, internet failures, cyber-attacks, power outages or failures of third-party service providers.
  • Such events shall not constitute a breach of these Terms by BICAB.
